The term "User" encompasses anyone who uses the Website or Services, including individuals seeking care and care provider agencies.
By using our Website, you also agree to our Privacy Policy (which governs how we collect and use personal data) and any other guidelines or policies we may provide on the Website. These Terms, together with the Privacy Policy, govern your use of the Website and Services. Services Overview
The Wardwave Group Ltd provides two primary categories of services to UK-based users:
1. Free Care Matching Services for Individuals and Families
Wardwave offers a care matchmaking and referral service at no charge to individuals, families, or care recipients seeking care solutions. This service is designed to connect you or your loved one with a suitable vetted care provider (such as a home care or domiciliary care agency) that meets your needs. You can submit your care requirements through our Website (via online forms) or by contacting us directly. Based on the information you provide — including the type of care needed, location, timing, and any specific preferences — Wardwave will use its network of trusted care agencies to identify one or more potential care providers that appear to fit your requirements.
Our team will then facilitate an introduction or referral to those care providers. We may share the information you submitted (such as your name, contact details, and care needs) with one or more selected care agencies, so that they can assess the case and reach out to you to discuss services. Please note: Wardwave itself is not a care agency and does not directly provide any care services. Our role is limited to matching and referring; any actual care services will be provided by third-party care providers who operate independently of Wardwave. We do not charge individuals or families for this matchmaking service, and you are under no obligation to choose or hire any care provider we recommend.
While we strive to suggest care providers that align with your needs, we do not guarantee that a perfect or available match will be found. All care providers we work with are vetted to meet our quality standards (for example, we verify that they have valid DBS checks, required insurance, references, and any necessary regulatory registration such as CQC registration in England). However, the decision to engage any care provider, and the terms of any agreement for care, rest solely with you and the chosen provider. Any arrangement for ongoing care services, contracts, payments or terms of care will be solely between you and the care provider. Wardwave is not a party to those agreements and has no control over the provision of care services by the provider.
2. Paid Consultancy and Support Services for Care Agencies
Wardwave also offers professional consultancy and support services to care providers, such as domiciliary care agencies and similar businesses in the care sector. These services are provided for a fee (as described in more detail under Booking and Payment Terms below) and are aimed at helping care agencies grow and succeed. Our consultancy and support offerings include, but are not limited to:
Compliance Support: Advising and assisting care agencies with regulatory compliance (for example, preparing for CQC inspections, ensuring policies and procedures meet applicable care standards, and guidance on data protection and ICO registration). We can conduct compliance checks or audits and provide feedback to help agencies maintain high standards of care quality and legal compliance.
Tender Writing and Bid Support: Helping care providers prepare bids, tenders, or proposals for contracts (such as local authority care contracts or NHS tenders). We provide guidance on how to effectively present your service offerings, meet tender requirements, and improve the quality of your submissions. (Note: While we can provide expertise and editing for tender documents, the final content and accuracy remain the agency’s responsibility.)
Business Development and Growth Consulting: Working closely with agencies to develop their business. This may include marketing advice, strategies to increase visibility and reach more clients, operational consulting to improve efficiency, and sharing best practices. We act as an external partner to help agencies identify opportunities and implement systems to attract and retain clients.
Lead Generation and Referral Partnerships: Wardwave can partner with agencies to help them find new client leads. Agencies may choose to join our network of care providers. In this arrangement, Wardwave will include the agency in our pool of vetted providers and may refer clients or leads to the agency when individuals in the agency’s area seek care. Such referrals are typically provided for a small referral fee per lead or per successful match. (For example, if a family in your area contacts Wardwave, we might pass their details to your agency for follow-up, and a pre-agreed fee would be charged for that referral.) The volume or availability of leads in any given area can vary and is not guaranteed.
All consultancy and support services for agencies are tailored to the agency’s needs and are generally arranged through direct consultation. You (the agency/client) and Wardwave will agree on the specific scope of work or support to be provided. This could be a one-time advisory session, a series of consulting calls, an ongoing partnership over a period of time, or inclusion in the referral/lead network. The details of the services, fees, and any deliverables will typically be confirmed during a booking or onboarding process (for instance, via a proposal, service agreement, or email confirmation). By engaging our paid services, the agency agrees to cooperate with Wardwave in providing necessary information and access so that we can effectively deliver the services.
Please be aware that Wardwave’s consultancy advice and referrals are based on our experience and information you provide to us. However, the implementation and results are largely in your hands. We do not take over management of your agency; rather, we advise and support. Any business decisions remain with the agency, and any regulatory responsibilities (such as maintaining your CQC registration or compliance with employment laws) remain with you as the service provider. Wardwave will not assume ownership or control of any part of your business operations; our role is to guide, recommend, and facilitate.
User Eligibility and Responsibilities
Our Website and services are intended for use by persons and organizations in the United Kingdom only. By using the Website or our services, you represent and warrant that you meet the following eligibility criteria and agree to the following responsibilities:
UK-Based and Age Requirement: You must be 18 years of age or older and a resident of the United Kingdom to use our services. We do not knowingly provide services to or collect personal data from individuals under 18. If you are under 18, or if you are not located in the UK, you are not permitted to use this Website or our services. Wardwave’s services (both the free care matching and paid agency support) are currently offered only within the UK. If you reside outside the UK, please do not use our site or submit personal information.
Accurate Information: You agree to provide true, accurate, current, and complete information about yourself when filling out forms on our Website or when communicating with us. This includes, for example, providing correct contact details, care needs, and any other information relevant to obtaining care or using our services. If you create an account or profile (in the event we offer user accounts), you must maintain and promptly update your information to keep it accurate and current. You are responsible for the information you submit, and you must not provide information that is false, misleading, or impersonates another person or entity.
Authority to Act (for Agencies or Representatives): If you are using our Website or services on behalf of an organization (for example, if you are an owner, employee, or representative of a care agency seeking our support), you must have the legal authority to bind that organization to these Terms. By accepting these Terms as a representative, you confirm that you have the right to act on behalf of your company or organization and that the entity you represent agrees to be bound by these Terms. Agencies using our services also confirm that they are properly registered and licensed to operate as care providers in their jurisdiction (e.g. registered with the Care Quality Commission or other relevant regulator if required) and will maintain all required credentials and insurance during our engagement.
User Account Security: If in future we provide account registration for certain services (for instance, an agency portal or a login to track referrals), you may be required to create a username and password. In that case, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Do not share your account password or give others access to your account. If you suspect any unauthorized use of your account or a security breach, you must notify Wardwave immediately. We are not liable for any loss or damage arising from your failure to protect your account information.
Responsibility for Compliance: You agree to use our Website and services only for lawful purposes and in compliance with all applicable laws and regulations. You are responsible for any content you submit and your interactions with Wardwave and with any third parties (such as care providers or clients) through our services. If you are a care provider, you are responsible for complying with all legal obligations toward the individuals you may serve (for example, obligations under health and social care regulations, data protection laws when handling client data provided via Wardwave, etc.). If you are an individual care-seeker, you likewise agree to act in good faith and treat any referred care provider and their staff with respect and according to any agreement you form with them.
By fulfilling these eligibility criteria and responsibilities, you help us maintain a trustworthy platform. Failure to meet the above requirements or any other violation of these Terms may result in suspension or termination of your access to the Website and services, as detailed under Termination and Access Restrictions below.
Booking and Payment Terms (for Agencies)
Certain Wardwave services (specifically, those provided to care agencies and providers) are offered on a paid basis. This section outlines the terms related to booking such services and the payment of fees by agencies:
Booking Services: If you are a care agency or provider engaging Wardwave for consultancy, support, or referrals, you will typically arrange the engagement via a consultation booking or direct communication with us. For example, you may schedule an initial consultation call (through a link provided on our Website or by contacting us), or you might sign up to join our provider network for referrals. When booking a consultation or any service, Wardwave will confirm the scope of services to be provided and the fees or rate applicable. This confirmation may be provided in writing (for instance, by email or a service agreement) or verbally during the initial call with written follow-up. It is your responsibility to ensure you understand what services you are booking and what fees will apply, and to ask for clarification if needed before confirming the booking.
Fees and Quotes: Fees for our consultancy and support services can vary depending on the nature and extent of support required. Some services might be charged as a one-time fee (e.g. a fixed fee for a package of consultancy support or for writing a tender proposal), while others could be hourly or monthly retainer-based (e.g. ongoing business development consulting). In the case of referrals/leads provided under our network, fees might be charged per lead or as a small commission. Wardwave will provide a quote or price before you formally commit to any paid service. All fees are quoted in Great British Pounds (GBP) and unless stated otherwise, fees exclude any applicable VAT or taxes. If VAT is chargeable, this will be made clear and added according to UK law. We reserve the right to change our fee rates or structure in the future, but no change will affect a service you have already booked and agreed to pay for at a given rate.
Payment Terms: When you agree to a paid service, you also agree to pay the fees as specified. Payment terms (such as due dates and invoicing) will be communicated to you. In many cases, Wardwave may require payment upfront before the service is rendered, especially for one-off consultations or reports. For example, we might invoice you and require payment prior to a detailed compliance support session or before delivering a completed tender document. For ongoing or retainer services, we may invoice on a periodic schedule (e.g. monthly) with payment due upon receipt or within a specified number of days (such as 7 or 14 days). You agree to pay all invoices in a timely manner and using the payment methods we support (which may include bank transfer, credit/debit card, or other electronic payment systems, as will be indicated on the invoice or during booking).
Failure to pay an invoice or fee by the due date constitutes a breach of these Terms. In such cases, Wardwave reserves the right to suspend or discontinue the provision of services to you until payment is made. We may also charge interest on overdue amounts at the statutory interest rate (as defined by the UK’s Late Payment of Commercial Debts regulations) accruing from the due date until the date of payment in full, if you are a business customer. Any costs of debt collection (if, unfortunately, it comes to that) may be added to the amount you owe as permitted by law.
Referral Fees: If you participate in our lead generation/referral network (Option B in our agency partnership options), you agree that whenever Wardwave provides you with a client lead or referral (such as contact details of an individual seeking care in your area), a referral fee will be due. The amount of the referral fee and the timing (e.g. per lead, or per successful placement) will be agreed upon when you join the network. Typically, fees for leads are due regardless of whether you ultimately contract with or provide services to the referred client, because the fee is for the introduction itself. We will, however, endeavor to provide quality leads that are relevant to your service offering. If a lead we provide is invalid (for instance, contact details that do not work at all) and you promptly inform us, we may, at our discretion, offer a replacement lead or waive that fee. By accepting a lead from us, you undertake to pay the associated fee and to handle the lead professionally and lawfully (including respecting the individual’s privacy and wishes). You also acknowledge that lead volumes can vary and are not guaranteed (as noted, some areas or times have higher demand than others).
Cancellation and Refunds: If you need to cancel or reschedule a booked consultation or service, please inform us as soon as possible. We will make reasonable efforts to accommodate changes in scheduling. However, if you cancel a service with short notice (for example, less than 24 hours for a scheduled call or meeting), or after we have already started significant work (such as having begun drafting a tender response), we reserve the right to charge a cancellation fee or retain a portion of the fee to cover work performed and time reserved. Any specific cancellation policy for a service will be communicated at the time of booking. Generally, fees for services that have been delivered (in whole or in part) are non-refundable, except in cases where we have failed to deliver the service as agreed or as required under consumer protection law. If you believe you are entitled to a refund due to non-performance or other issues, you should contact us to discuss the matter, and we will review such requests on a case-by-case basis in line with your statutory rights.
By booking a service with Wardwave, you acknowledge that you are entering into a contract for that service and you agree to pay the applicable fees for the value received. We aim to be fair and transparent in our dealings; if you ever have questions about a charge or an invoice, please contact us promptly so we can clarify or resolve any issue.
No Guarantee of Outcomes
Wardwave makes no guarantees or warranties regarding specific outcomes from the use of our services. All services are provided on a "best efforts" and "as-is" basis. While we pride ourselves on our expertise and our successful track record in matching clients with care providers and in helping care businesses grow, it is important to understand that results can and do vary. By using our services, you acknowledge and agree to the following no-guarantee terms:
Care Matching (Individuals/Families): Wardwave does not guarantee that we will find a suitable care provider in every case. We rely on the information you provide and the availability of providers in our network. There may be situations where no provider meets your specific requirements or where providers are at capacity. Additionally, we cannot guarantee that if a referral is made, the care provider will ultimately enter into a service agreement with you or that you will be satisfied with the provider’s services. Any descriptions of providers being "trusted", "vetted", or "high quality" reflect our vetting process and opinion but are not a guarantee of any particular outcome or the future performance of that provider. You should exercise your own judgement when entering into any agreement with a care provider.
Consultancy Services (Care Agencies): Wardwave does not promise any particular business outcome or improvement as a result of our consultancy and support services. No specific results are guaranteed. For example, if we assist with business development or marketing, we do not guarantee that your client base will increase by a certain number or at all; if we help with tender writing, we cannot guarantee that you will win any particular contract; if we provide compliance advice, we cannot guarantee that you will pass any regulatory inspection (though we certainly aim to help you be prepared). Any examples of past success (such as statements that many agencies we work with gained 2–3 new clients in the first 3 months) are for illustrative purposes and do not constitute a promise or guarantee that you will achieve the same. Market conditions, individual effort, and many other factors play a role in outcomes that are beyond our control.
Leads and Referrals (Care Agencies): If you join our provider network, we will make efforts to refer suitable client leads to you. However, we cannot guarantee the volume, frequency, or quality of leads. Lead availability depends on real-world demand in your area and other factors outside of Wardwave’s control. We also cannot guarantee that any lead will result in a contracted client for your agency. It is up to you to follow up on leads and secure them; our involvement is only to introduce. You acknowledge that you will not hold Wardwave liable for a lack of referrals or for referrals that do not convert into business.
General Service Availability: We make no guarantee that the Website or any services will be available uninterrupted or error-free at all times. Technical issues or maintenance may occasionally result in downtime or delays. We cannot guarantee that the Website (or communications from us) will be free of viruses or other harmful components, but we do take reasonable measures to secure our systems (see Liability Limitation).
In summary, Wardwave does not guarantee any particular outcome, profit, success, or result from your use of the Website or our services. Any indications of possible outcomes are estimates or aims only, and not contractual commitments. You acknowledge that results depend on many factors including your own efforts and the actions of third parties, and you accept that there is no assurance of any specific result. This no-guarantee clause is a fundamental basis on which our services are offered, and we would not be able to provide services (especially free referral services) without this understanding.
Intellectual Property Rights
All content and materials on the Wardwave Website, and all intellectual property rights therein, are owned by or licensed to The Wardwave Group Ltd unless otherwise stated. This includes, but is not limited to, the text, graphics, logos, buttons, icons, images, audio clips, video clips, data compilations, page layout, design, look and feel, software, and underlying code. The compilation of all content on this Website is the exclusive property of Wardwave and is protected by United Kingdom and international copyright, trademark, and other intellectual property laws.
Authorized Use: Wardwave grants you a limited, non-exclusive, non-transferable license to access and make personal or internal business use of the Website and its content for the purposes intended (for example, learning about our services, submitting an inquiry, or using our matching service). You may print or download small portions of text from the Website for your personal reference or records (for example, printing these Terms or saving a copy of a service description), but only if you retain all copyright and proprietary notices. No other use is permitted without our express prior written consent.
Restrictions: You must not:

Any unauthorized use of the Website or its content may violate intellectual property laws and these Terms. User Contributions: Generally, our Website does not invite users to post content publicly (we do not have open forums or user-generated content sections at this time). We collect this information through forms on our Website (such as our contact form or provider network form), through email, or via phone/WhatsApp communications as listed on our Contact page.
Use of Personal Data: We will use the personal data you provide solely for the purposes of providing and improving our services, and as otherwise required for legitimate business interests or legal obligations. The primary uses include:
For individuals/families: using your information to understand your care needs and connect you with appropriate care providers. This involves internally evaluating your requirements and then sharing your relevant details with one or more suitable care agencies or professionals in our network. We will only share the minimum necessary information for the referral (typically your first and last name, general location, a summary of care needs, and contact information) so that the provider can assess and contact you. We will not share sensitive details beyond what is needed to make the match, and we will always handle health-related information with particular care. By submitting your information, you consent to this referral process. If you do not want us to share your details with any provider, you must let us know, but then we will be unable to perform the matching service.
For care agencies/providers: using your information to deliver the consulting or support services you have requested. For example, if you seek compliance support, we might use your information to research regulatory requirements pertinent to your situation or to draft documents for you. If you join the referral network, we will store your details and preferences and potentially publish some of it (like your agency name and service areas) on our site or materials for families to see, and we will contact you with leads. We might also share some of your business contact info with prospective clients (for instance, giving an interested family your agency name and phone number as part of a referral introduction). By providing your data and joining our services, you consent to these uses.
All Users' data may also be used for ancillary purposes such as customer service (e.g., to contact you to follow up on a request or to ask for feedback), service improvement (using aggregated, anonymized data to understand demand or improve our processes), and legal compliance (e.g., keeping records of transactions or communications as required by law).

We advise individuals to review any privacy notices that a referred care provider gives them, and we contractually expect our partner agencies to use referred data only for the purpose of offering care services and not for unrelated marketing without consent. If you believe a provider misused your data, please inform us.
Privacy Policy: We either have provided or will provide a more detailed Privacy Policy on our Website that explains our data practices in full, including rights you have as a data subject (such as the right to access your data, correct it, or request deletion in certain circumstances). For example, agencies should not pretend to be families to try to see what other agencies are doing, and individuals should not misrepresent needing care just to gather information. Harassing or Harmful Content: You must not use the Website to post, transmit, or communicate any content that is defamatory, libelous, abusive, harassing, obscene, vulgar, offensive, hateful, or otherwise objectionable. Although our site currently doesn’t have public posting forums, any messages you send to us (through forms or emails) should be respectful. If at any point we offer features like blog comments or reviews, this rule applies there as well.
Infringement of Rights: Do not upload, send, or otherwise make available any content that infringes or violates the rights of any party.
